These Terms of Service ("Terms") govern your access to and use of the website and online store operated by Factory-Match, LLC, a Wisconsin limited liability company ("Factory-Match," "we," "us," or "our"), located at factory-match.com (the "Services"). By accessing or using the Services, placing an order, or creating an account, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

These Terms apply to all users of the Services, including retail customers and wholesale distributors. Wholesale distributors are also subject to any additional terms set forth in their distributor agreement with Factory-Match, LLC.

1. Products and Orders

All products sold through the Services are mixed to order using PPG's Harley-Davidson Factory Pack Program formulations. By placing an order, you acknowledge and agree to the following:

•        All products are mixed to order. Please allow up to 10 business days for production prior to shipment. Production times may vary based on order volume and toner availability.

•        If a required toner is backordered, you will be notified with an updated estimated lead time. Factory-Match, LLC is not liable for delays caused by supplier backorders or other circumstances outside our control.

•        Paint is shipped unreduced and must be reduced approximately 1:1 with the appropriate reducer before spraying. It is the customer's responsibility to use the correct reducer and follow proper application procedures. See our FAQ page at factory-match.com for detailed product information.

•        Each order yields approximately double the volume in ready-to-spray (RTS) product after reduction.

•        Factory-Match, LLC reserves the right to cancel or refuse any order at its sole discretion, including orders that cannot be fulfilled due to product unavailability.

2. Pricing and Payment

All prices are listed in U.S. dollars. Prices are subject to change without notice. Factory-Match, LLC reserves the right to correct pricing errors at any time. If a pricing error is discovered after an order is placed, we will notify you and provide the option to proceed at the correct price or cancel your order.

Payment is due in full at the time of order. We accept major credit cards and other payment methods as displayed at checkout. Wholesale distributor accounts may be subject to separate payment terms as established in their distributor agreement.

Applicable taxes will be applied to orders as required by law. It is the customer's responsibility to provide accurate tax exemption documentation where applicable.

3. Shipping Policy

Factory-Match, LLC ships via ground service only. The following shipping restrictions apply:

•        We ship to the continental United States only. We do not ship to Alaska, Hawaii, U.S. territories, or international addresses.

•        Shipping times are estimates only and are not guaranteed. Factory-Match, LLC is not responsible for delays caused by the carrier, weather, or other circumstances outside our control.

•        Risk of loss and title for products pass to you upon delivery to the carrier. If your shipment is lost or damaged in transit, please contact us at orders@factory-match.com and we will assist you in filing a claim with the carrier.

•        Shipping costs are calculated at checkout based on order weight, dimensions, and destination.

4. Return and Refund Policy

ALL SALES ARE FINAL. Because all products are mixed to order to your specific color selection, we cannot accept returns or exchanges under any circumstances. This policy applies to all orders, including wholesale distributor orders.

Exceptions may be considered solely at the discretion of Factory-Match, LLC in the event of a verified manufacturing defect or fulfillment error (e.g., wrong color shipped). To report a fulfillment error, you must contact us at orders@factory-match.com within 5 business days of receiving your order. We may require photographic documentation of the issue before processing any remedy.

Factory-Match, LLC is not responsible for color appearance variations resulting from application method, surface preparation, lighting conditions, aging of existing finish, or other factors outside our control. Please review our FAQ page before placing your order.

5. Product Use and Application Disclaimer

Factory-Match, LLC products are professional-grade automotive refinish paints intended for use by trained professionals or experienced end users. By purchasing our products, you represent that you have the knowledge, skills, equipment, and facilities necessary to handle, reduce, and apply automotive refinish products safely and in accordance with all applicable laws and regulations.

FACTORY-MATCH, LLC MAKES NO WARRANTY, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, THAT ANY PRODUCT WILL PRODUCE AN EXACT COLOR MATCH TO ANY SPECIFIC SURFACE OR EXISTING FINISH. Color appearance may vary based on application technique, number of coats, reducer ratio, spray equipment, ambient conditions, and the age and condition of the surface being matched.

It is the customer's sole responsibility to test the product on a small inconspicuous area before full application. Factory-Match, LLC shall not be liable for any costs associated with labor, additional materials, or remediation resulting from unsatisfactory color match results.

6. Safety and Compliance

Automotive refinish products contain chemicals that may be hazardous if improperly handled. By purchasing our products, you agree to:

•        Read and follow all Safety Data Sheets (SDS) provided with your order and available at factory-match.com.

•        Use appropriate personal protective equipment (PPE) including respirators, gloves, and eye protection.

•        Apply products only in properly ventilated areas in compliance with all applicable federal, state, and local regulations.

•        Comply with all applicable VOC regulations and environmental laws in your jurisdiction.

•        Dispose of all waste materials in accordance with applicable environmental regulations.

Factory-Match, LLC is not responsible for any injury, damage, or regulatory violation resulting from improper handling, application, or disposal of our products.

7. Wholesale Distributor Accounts

Wholesale pricing and distributor account access are available to qualified businesses that have been approved by Factory-Match, LLC. Distributor accounts are subject to approval at our sole discretion. Approval of a distributor account does not constitute a guarantee of continued access or pricing.

Wholesale pricing is non-transferable and may not be shared with or extended to unauthorized third parties. Distributors may not resell products at prices that misrepresent the Factory-Match brand or undercut established retail pricing without prior written consent from Factory-Match, LLC.

Factory-Match, LLC reserves the right to modify, suspend, or terminate distributor account access at any time, with or without cause, upon reasonable notice.

8. Intellectual Property

All content on the Services, including but not limited to text, images, graphics, logos, product descriptions, and the Factory-Match name and brand, is the property of Factory-Match, LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on the Services without our prior written consent.

Factory-Match, LLC is an authorized partner of PPG Industries. Use of PPG trademarks, product names, and program names on this site is for identification and descriptive purposes only and does not imply any affiliation with or endorsement by PPG Industries beyond our authorized partnership.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FACTORY-MATCH, LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES OF ANY KIND ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, ANY PRODUCTS PURCHASED THROUGH THE SERVICES, OR THE APPLICATION OR PERFORMANCE OF ANY PRODUCT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO FACTORY-MATCH, LLC FOR THE SPECIFIC PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Factory-Match, LLC, its members, managers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services or any products purchased through the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) the improper handling, application, or disposal of any product purchased from Factory-Match, LLC.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Services shall be resolved exclusively in the state or federal courts located in Racine County, Wisconsin, and you hereby consent to the personal jurisdiction of such courts.

Before initiating any legal action, you agree to contact Factory-Match, LLC at info@factory-match.com and provide a written description of the dispute. The parties agree to make a good faith effort to resolve the dispute informally within 30 days of such notice.

12. Changes to These Terms

Factory-Match, LLC reserves the right to modify these Terms at any time. We will post the revised Terms on this website and update the "Last Updated" date. Your continued use of the Services after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any applicable distributor agreement, constitute the entire agreement between you and Factory-Match, LLC with respect to the Services and supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter hereof.
